Emerging Companies & Venture Capital
Roberts Zimmerman advises emerging companies throughout each stage of their lifecycle, serving as long‑term transactional counsel as businesses form, grow, and mature. We work closely with founders and management teams on formation, early operations, governance, and growth‑oriented matters that are critical to building and scaling successful ventures.
Our practice includes advising emerging companies and investors in venture capital financings across a wide range of early‑ and growth‑stage structures. We regularly counsel clients on seed financings using SAFEs, convertible notes, and other early‑stage instruments, as well as priced equity rounds as companies progress.
As companies scale, we continue to advise through successive rounds of institutional investment, including Series A through Series D financings and beyond, involving established venture capital firms, corporate venture investors, and other institutional investment platforms across multiple jurisdictions. This experience allows us to navigate increasingly complex capitalization structures, governance arrangements, and investor expectations as businesses mature.
In addition to financings, we support the ongoing legal needs of growing companies, including equity incentive and stock plan design, personnel and executive compensation arrangements, and other foundational matters. As businesses evolve, we provide efficient, informed guidance informed by an understanding of each client’s operations, investor base, and long‑term objectives.
